Terms of Service

Acceptance

These terms govern your use of Trade Lounge (the "Service"), operated by Mahdizadeh Consulting Group Inc. ("we", "us"). By creating an account or using the Service you agree to them. If you do not agree, do not use the Service.

What the service is (and is not)

The Service is a trading intelligence and market analytics product delivered as software by subscription. It presents analysis, scores and contextual information for your own evaluation.

It is not investment, financial, legal or tax advice; not portfolio management; not a personalised recommendation service; and not an offer or solicitation to trade any asset. We are not a broker, dealer, adviser or fiduciary, and we take no position on whether any transaction is suitable for you.

Eligibility

You must be at least 18 and legally able to enter into a contract. You are responsible for ensuring that your use of the Service is lawful where you live, including any restrictions on digital-asset trading.

Accounts

Accounts are personal to you. Keep your credentials confidential, tell us promptly about any unauthorised use, and give us accurate information. Beta access is granted at our discretion and may be limited, changed or withdrawn.

Acceptable use

Do not share, resell, redistribute or publicly republish output from the Service; do not scrape, reverse engineer, or attempt to derive our methods; do not interfere with the Service's operation or security; and do not use it to break the law or to mislead others. Automated access outside any interface we provide is not permitted.

Subscriptions, billing and cancellation

Beta access is free. At general availability, paid plans renew automatically for the period selected until cancelled. You may cancel at any time; cancellation takes effect at the end of the current period and there is no exit fee. Fees are stated exclusive of applicable taxes. Changes of plan are prorated. Except where required by law, payments already made are non-refundable.

Intellectual property

The Service, its content and its underlying methods remain ours. We grant you a limited, non-exclusive, non-transferable right to use the Service for your own trading decisions during your subscription. Feedback you send us may be used without obligation, and remains free of any claim by you.

No warranty

The Service is provided "as is" and "as available". We do not warrant that it will be uninterrupted, timely, error-free, or that any data it depends on will be accurate or complete. We make no representation of any kind about future market outcomes.

Limitation of liability

To the fullest extent permitted by law, we are not liable for trading losses, lost profits, or indirect, incidental, special or consequential damages arising from your use of the Service. Our total liability for any claim is limited to the amount you paid us in the twelve months before the event giving rise to it. Some jurisdictions do not allow certain limitations, in which case the narrowest permitted limitation applies.

Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these terms or your misuse of the Service.

Suspension and termination

We may suspend or terminate access for breach of these terms, for non-payment, or where required for security or legal reasons. You may close your account at any time. Provisions that by their nature should survive termination do so.

Governing law

These terms are governed by the laws of the Province of [PROVINCE] and the federal laws of Canada applicable there, and the courts of that province have exclusive jurisdiction.

Changes

We may update these terms. Material changes are announced by email to account holders before they take effect, and the date above always reflects the current version. Continued use after that date means you accept the revised terms.
